These Terms of Use (“Terms”) govern your access to and use of the Brand365 Grow Business website, dashboard, applications, campaign pages, QR pages, forms, Google integrations, AI tools, subscription features, and related services collectively referred to as the “Services.”

By creating an account, accessing the website, connecting a third-party account, purchasing a subscription, or using any part of the Services, you agree to these Terms and our Privacy Policy.

If you do not agree with these Terms, you must not access or use the Services.

1. About Brand365 Grow Business

Brand365 Grow Business is a business growth and local marketing platform that provides tools for:

• Lead generation
• Customer relationship management
• Review and reputation management
• Google Business Profile management
• Bookings and appointments
• Customer feedback
• Coupons and promotional campaigns
• QR campaign pages
• Business profile management
• AI-assisted content generation
• AI-assisted review replies
• Reports and analytics
• Customer engagement
• Marketing automation
• Related business growth activities

Features may differ depending on your selected plan, subscription, location, account eligibility, and third-party service availability.

2. Eligibility

You may use Brand365 Grow Business only if:

• You are at least 18 years old
• You are legally capable of entering into a binding agreement
• You are authorized to represent the business or organization connected to the account
• Your use of the Services complies with applicable laws and regulations
• You provide complete and accurate account information

If you use the Services on behalf of a business or organization, you confirm that you have authority to accept these Terms on its behalf.

3. Account Registration

You may need to create an account to access certain features.

You agree to:

• Provide accurate and current information
• Keep your account details updated
• Maintain the confidentiality of your password and login credentials
• Restrict unauthorized access to your account
• Notify us immediately if you suspect unauthorized use
• Accept responsibility for activities performed through your account

You must not create an account using false information, another person’s identity, or information you are not authorized to use.

Brand365 Grow Business may suspend or restrict an account if the information provided is inaccurate, incomplete, misleading, fraudulent, or unlawful.

4. Google Sign-In and Google Business Profile Integration

Brand365 Grow Business may allow you to sign in with Google or connect your Google Business Profile through Google OAuth.

When connecting Google services, you authorize Brand365 Grow Business to access only the information and permissions displayed on the Google authorization screen and approved by you.

Depending on the features selected, this may include:

• Basic Google account information
• Email address and profile information
• Google Business Profile accounts
• Business locations
• Location information
• Reviews and ratings
• Review replies
• Review performance information
• Account connection status

We use Google data only to provide user-facing features authorized by you.

You are responsible for:

• Connecting only Google accounts you are authorized to manage
• Reviewing requested permissions before approval
• Ensuring your Google Business Profile content is accurate
• Reviewing AI-generated reply suggestions before publishing
• Complying with Google’s terms and policies

You may disconnect Google access through your Brand365 Grow Business account settings, where available, or revoke access through your Google Account permissions.

Revoking Google access may prevent certain features from functioning.

5. Subscription Plans and Fees

Brand365 Grow Business may offer free, trial, paid, promotional, or customized plans.

The available features, usage limits, credits, user seats, business locations, storage, integrations, and support levels may depend on the selected plan.

By purchasing a paid plan, you agree to:

• Pay all applicable fees and taxes
• Provide accurate billing information
• Authorize the applicable payment processor to charge you
• Pay renewal charges where automatic renewal is enabled
• Comply with the billing conditions shown at checkout

Prices and plan features may be changed with reasonable notice. Changes generally apply from the next billing or renewal period unless otherwise stated.

Taxes may be added where legally required.

6. Free Trials and Promotional Offers

We may offer free trials, credits, discounts, coupons, or promotional plans.

Promotional offers may:

• Be available only to eligible users
• Have limited validity
• Include restricted features
• Have usage limits
• Be withdrawn or modified
• Convert to a paid subscription after the promotional period, where disclosed

You must review the applicable offer terms before activation.

Creating multiple accounts to misuse a trial, coupon, credit, or promotional offer is prohibited.

7. Renewals, Cancellation, and Refunds

Subscriptions may renew automatically where this is disclosed during purchase.

You may cancel renewal through your account settings or by contacting us at grow@brand365.in.

Cancellation normally prevents the next renewal charge but does not automatically provide a refund for the current billing period.

Unless otherwise required by law or specifically stated in an applicable refund policy:

• Subscription fees are non-refundable after activation
• Used credits are non-refundable
• Partially used billing periods are not refunded
• Setup, customization, onboarding, and professional service charges may be non-refundable
• Third-party charges already incurred may not be refundable

If a duplicate or incorrect payment occurs, contact us with the transaction details for review.

8. Acceptable Use

You agree to use the Services only for lawful business purposes.

You must not use Brand365 Grow Business to:

• Violate any applicable law or regulation
• Send spam or unsolicited bulk communications
• Collect information without proper consent
• Publish false, misleading, deceptive, or defamatory content
• Impersonate another person, business, or organization
• Promote illegal products, services, or activities
• Harass, threaten, exploit, or discriminate against anyone
• Upload malware, viruses, or harmful code
• Attempt unauthorized access to accounts, servers, systems, or data
• Interfere with platform security or availability
• Circumvent usage limits, billing restrictions, or access controls
• Scrape, copy, reverse engineer, or extract platform data without authorization
• Misuse Google APIs or Google user data
• Publish fake, purchased, manipulated, or incentivized reviews in violation of platform policies
• Use customer data for purposes beyond the consent obtained
• Infringe intellectual property, privacy, publicity, or contractual rights
• Use the Services to conduct fraud, phishing, or identity theft

We may investigate suspected misuse and take appropriate action.

9. Business Campaigns, Leads, and Customer Data

The Services may allow businesses to create forms, campaign pages, booking pages, coupon pages, feedback pages, review pages, and QR campaigns.

You are responsible for:

• Providing accurate campaign information
• Obtaining legally required customer consent
• Publishing an appropriate privacy notice
• Handling leads and customer information lawfully
• Honouring valid offers, appointments, coupons, and commitments
• Responding to customers appropriately
• Securing exported or downloaded customer data
• Complying with applicable marketing and communication laws

Brand365 Grow Business provides technology tools but is not a party to transactions, promises, appointments, promotions, or disputes between a business and its customers.

10. Reviews and Reputation Management

You must use review-management features honestly and lawfully.

You must not:

• Create or encourage fake reviews
• Misrepresent customer feedback
• Prevent customers from posting genuine negative reviews
• Offer prohibited incentives in exchange for positive reviews
• Manipulate ratings or review platforms
• Publish abusive or misleading replies
• Violate Google or another review platform’s policies

You are responsible for reviewing and approving all review replies before publication.

Brand365 Grow Business does not guarantee that a review platform will publish, retain, remove, or modify any review or reply.

11. AI-Generated Content

The Services may generate content using artificial intelligence, including:

• Marketing copy
• Business descriptions
• Headlines
• Calls-to-action
• Captions
• FAQs
• Customer replies
• Review reply suggestions
• Campaign content

AI-generated content may be inaccurate, incomplete, outdated, inappropriate, or unsuitable for your business.

You are responsible for:

• Reviewing generated content
• Confirming factual accuracy
• Editing unsuitable content
• Checking legal and regulatory compliance
• Approving content before publication
• Ensuring claims, prices, offers, and representations are correct

AI-generated content does not constitute legal, financial, medical, professional, or regulatory advice.

Brand365 Grow Business does not guarantee any specific result from AI-generated content.

12. User Content

“User Content” includes information, text, logos, images, reviews, replies, files, campaign materials, business information, and other content submitted through the Services.

You retain ownership of your User Content.

By uploading or submitting User Content, you grant Brand365 Grow Business a limited, non-exclusive, worldwide licence to host, store, process, reproduce, display, and use that content only as necessary to:

• Operate the Services
• Provide requested features
• Publish authorized campaign pages
• Generate requested reports or AI content
• Maintain security
• Provide technical support
• Comply with legal requirements

You confirm that you have the necessary rights and permissions to submit and use the User Content.

13. Intellectual Property

The Brand365 Grow Business platform, software, interface, design, databases, documentation, logos, trademarks, content, and technology are owned by or licensed to Brand365 Grow Business and are protected by applicable intellectual property laws.

Except where expressly permitted, you may not:

• Copy or reproduce the platform
• Modify or create derivative works
• Sell, sublicense, or redistribute the Services
• Reverse engineer or decompile software
• Remove trademarks or ownership notices
• Use Brand365 branding without written permission
• Access source code or restricted systems
• Use the Services to build a competing product through unauthorized extraction or copying

These Terms provide a limited right to use the Services and do not transfer ownership of any intellectual property.

14. Third-Party Services

Brand365 Grow Business may integrate with third-party services, including:

• Google
• Facebook
• Instagram
• WhatsApp
• Payment processors
• SMS and email providers
• AI service providers
• Analytics services
• Review platforms
• Hosting and cloud providers

Third-party services operate under their own terms, policies, availability, pricing, and technical requirements.

Brand365 Grow Business is not responsible for:

• Third-party outages
• API changes
• Account restrictions
• Content removal
• Policy enforcement
• Pricing changes
• Data processing controlled independently by third parties
• Suspension or termination of a third-party account

A third-party integration may stop working if permissions are revoked, APIs are changed, or the third party restricts access.

15. Service Availability and Modifications

We aim to provide reliable Services, but we do not guarantee uninterrupted, error-free, or continuously available access.

Services may be affected by:

• Scheduled maintenance
• Emergency maintenance
• Software updates
• Hosting problems
• Internet outages
• Security incidents
• Third-party API failures
• Events beyond our reasonable control

We may add, modify, suspend, restrict, or discontinue features where reasonably necessary.

Where practical, we may provide advance notice of material changes.

16. Suspension and Termination

We may suspend, restrict, or terminate access if:

• These Terms are violated
• Fees remain unpaid
• The account is used fraudulently
• The Services are misused
• Security risks are detected
• Applicable law requires action
• Third-party platform policies are violated
• Use of the account creates risk to users, customers, or the platform

You may stop using the Services and request account closure by contacting grow@brand365.in.

Termination does not remove payment obligations incurred before termination.

Following termination, access to account data and features may end. You should export necessary information before closing your account where an export option is available.

17. Privacy and Data Protection

Our collection and use of personal information are governed by our Privacy Policy:

By using the Services, you acknowledge that you have reviewed the Privacy Policy.

Businesses using Brand365 Grow Business are independently responsible for providing any legally required notices and obtaining necessary customer consent.

18. Disclaimer of Warranties

To the extent permitted by law, the Services are provided on an “as is” and “as available” basis.

We do not guarantee that:

• The Services will always be uninterrupted or error-free
• Every feature will always remain available
• Generated content will always be accurate
• Marketing campaigns will generate specific results
• Customers will submit leads or reviews
• Search rankings or ratings will improve
• Third-party integrations will remain available
• Data will never be lost or affected by a technical problem

You are responsible for independently maintaining copies of important business and customer information.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Brand365 Grow Business will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses, including:

• Loss of profits
• Loss of revenue
• Loss of business opportunity
• Loss of goodwill
• Reputational harm
• Loss of data
• Customer disputes
• Marketing losses
• Third-party account suspension
• Business interruption

Where liability cannot be excluded, our total liability relating to the Services will not exceed the amount paid by you to Brand365 Grow Business for the applicable Service during the three months immediately preceding the event giving rise to the claim.

This limitation does not apply where liability cannot legally be limited.

20. Indemnification

To the extent permitted by law, you agree to indemnify and hold Brand365 Grow Business and its representatives harmless from claims, losses, liabilities, damages, penalties, and reasonable expenses arising from:

• Your misuse of the Services
• Your violation of these Terms
• Your User Content
• Your customer communications
• Your campaigns, offers, coupons, or bookings
• Your violation of privacy or marketing laws
• Your infringement of third-party rights
• Unauthorized use of a third-party account
• Your violation of Google or another platform’s policies

21. Governing Law and Jurisdiction

These Terms are governed by the laws of India.

Subject to applicable consumer-protection laws, disputes relating to these Terms or the Services will be subject to the jurisdiction of the competent courts located in Pune, Maharashtra, India.

Before initiating formal proceedings, both parties should make a reasonable effort to resolve the dispute through written communication.

22. Changes to These Terms

We may update these Terms when:

• Features change
• Business practices change
• Legal requirements change
• Third-party integrations change
• Security or operational requirements change

When updated, the “Last Updated” date will be revised.

Material changes may be communicated through the website, dashboard, or registered email address.

Continued use of the Services after revised Terms become effective constitutes acceptance of the updated Terms, subject to applicable law.

23. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.

Failure to enforce a provision does not waive our right to enforce it later.

You may not transfer your rights or obligations under these Terms without written permission. We may transfer our rights and obligations as part of a restructuring, merger, acquisition, sale, or transfer of business assets, subject to applicable law.

These Terms, together with the Privacy Policy and any plan-specific conditions, form the agreement governing your use of Brand365 Grow Business.
